These Terms & Conditions ("Terms") govern your access to and use of vibecoderpnw.com (the "Site") and the services offered by Vibe Coder PNW ("Vibe Coder PNW," "we," "us," or "our"). By accessing or using the Site, submitting a form, subscribing to our newsletter, or engaging us for services, you agree to these Terms. If you do not agree, please do not use the Site.

1. Who We Are

Vibe Coder PNW is a subscription software studio. We build, host and operate web application platforms, AI workflows and marketing software that clients access on a recurring subscription.

2. Use of the Site

You may use the Site for lawful purposes only. You agree not to:

Use the Site in any way that violates applicable law or regulation
Attempt to gain unauthorized access to any part of the Site, our systems, or accounts (including administrative areas)
Interfere with or disrupt the Site's functionality, security, or servers
Use automated means (bots, scrapers, or scripts) to extract data from the Site beyond what is permitted by our robots.txt, llms.txt, or similar public access files
Submit false, misleading, or fraudulent information through any form on the Site
Use content from the Site to build a competing product or service without our written permission

We reserve the right to restrict or terminate access to the Site for anyone who violates these Terms.

3. Forms, Inquiries, and Communications

When you submit a contact form, intake form, audit request, or newsletter signup, you represent that the information you provide is accurate and that you have the right to provide it. Submitting a form does not create a contractual relationship or guarantee of services, it initiates a conversation. Any services we perform are governed by a separate signed agreement or statement of work between you and Vibe Coder PNW.

You may unsubscribe from newsletter or marketing emails at any time using the unsubscribe link included in those emails, or by contacting us directly.

4. Subscriptions and Platform Access

Our offerings are subscription software platforms. Vibe Coder PNW builds, hosts, operates and maintains each platform, and the client receives a non-exclusive, non-transferable right to access and use it for the duration of an active subscription. Clients do not receive ownership of, or a license to, the underlying source code, infrastructure or platform software unless a separate written agreement expressly grants it.

Scope, monthly fees, support levels, term and cancellation for a given subscription are set out in a separate written agreement (proposal, order form or statement of work). Nothing on the Site, including any figures shown for reference, constitutes a binding offer until confirmed in a signed agreement.

Your data remains yours. The business content, records and customer data a client puts into a platform we operate belong to that client. A client may request a structured export at any time during the subscription, and we keep that data available for export for 30 days after cancellation. See our Privacy Policy for how we handle that data.

Access ends when a subscription ends. We may suspend access for non-payment or for a violation of these Terms or the applicable agreement.

5. Payments and Billing

Subscriptions bill on a recurring basis through our third-party payment processor (Stripe). By making a payment, you agree to Stripe's terms of service in addition to these Terms. Fees are as agreed in your subscription agreement or as shown at checkout, recur until cancelled per that agreement, and are non-refundable except as expressly stated there or as required by law.

6. Intellectual Property

All content on the Site, including text, graphics, logos, tools (such as the AI Search Audit tool), and underlying code, is owned by or licensed to Vibe Coder PNW and is protected by copyright, trademark, and other intellectual property laws. You may view and share content from the Site for personal, non-commercial reference, but you may not reproduce, distribute, or create derivative works from it without our prior written permission.

Platforms we build and operate for clients, including their source code, design systems, infrastructure and any improvements made during a subscription, remain the intellectual property of Vibe Coder PNW. A subscription grants a right of access and use, not ownership or a source-code license. Client data, brand assets and content supplied by a client remain the client's property. Where a separate written agreement sets different intellectual property terms, that agreement takes precedence for that engagement.

7. Third-Party Links and Services

The Site may link to or rely on third-party services (such as Stripe, Google, or Resend) that are governed by their own terms and privacy policies. We are not responsible for the content, accuracy, or practices of third-party services, and linking to them does not imply endorsement.

8. Disclaimers

The Site and any tools on it (including the AI Search Audit tool) are provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not guarantee that the Site will be uninterrupted, error-free, or secure, or that any audit, analysis, or recommendation generated by our tools will produce specific business results (such as search rankings, traffic, or revenue).

9. Limitation of Liability

To the fullest extent permitted by law, Vibe Coder PNW and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages. Our total liability arising from your use of the Site (as distinct from a separate signed service agreement, which governs its own liability terms) will not exceed one hundred dollars ($100).

Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Indemnification

You agree to indemnify and hold harmless Vibe Coder PNW and its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Site.

11. Governing Law

These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or your use of the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Washington County, Oregon.

12. Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date above when we do. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
