These Terms & Conditions ("Terms") govern your access to and use of vibecoderpnw.com (the "Site") and the services offered by Vibe Coder PNW ("Vibe Coder PNW," "we," "us," or "our"). By accessing or using the Site, submitting a form, subscribing to our newsletter, or engaging us for services, you agree to these Terms. If you do not agree, please do not use the Site.

1. Who We Are

2. Use of the Site

You may use the Site for lawful purposes only. You agree not to:

Use the Site in any way that violates applicable law or regulation
Attempt to gain unauthorized access to any part of the Site, our systems, or accounts (including administrative areas)
Interfere with or disrupt the Site's functionality, security, or servers
Use automated means (bots, scrapers, or scripts) to extract data from the Site beyond what is permitted by our robots.txt, llms.txt, or similar public access files
Submit false, misleading, or fraudulent information through any form on the Site
Use content from the Site to build a competing product or service without our written permission

We reserve the right to restrict or terminate access to the Site for anyone who violates these Terms.

3. Forms, Inquiries, and Communications

When you submit a contact form, intake form, audit request, or newsletter signup, you represent that the information you provide is accurate and that you have the right to provide it. Submitting a form does not create a contractual relationship or guarantee of services, it initiates a conversation. Any services we perform are governed by a separate signed agreement or statement of work between you and Vibe Coder PNW.

You may unsubscribe from newsletter or marketing emails at any time using the unsubscribe link included in those emails, or by contacting us directly.

4. Services and Engagements

Any development, consulting, marketing, or other services described on the Site are subject to a separate written agreement (proposal, statement of work, or contract) that will govern scope, pricing, timelines, deliverables, and payment terms for that engagement. Nothing on the Site, including pricing shown for reference, constitutes a binding offer until confirmed in a signed agreement.

5. Payments

Where payments are processed through the Site, they are handled by our third-party payment processor (Stripe). By making a payment, you agree to Stripe's terms of service in addition to these Terms. All fees are as agreed in your specific engagement or as shown at checkout, and are non-refundable except as expressly stated in your service agreement or as required by law.

6. Intellectual Property

All content on the Site, including text, graphics, logos, tools (such as the AI Search Audit tool), and underlying code, is owned by or licensed to Vibe Coder PNW and is protected by copyright, trademark, and other intellectual property laws. You may view and share content from the Site for personal, non-commercial reference, but you may not reproduce, distribute, or create derivative works from it without our prior written permission.

Deliverables produced for a specific client engagement are governed by the intellectual property terms of that engagement's separate written agreement, which take precedence over this section for that engagement.

7. Third-Party Links and Services

The Site may link to or rely on third-party services (such as Stripe, Google, or Resend) that are governed by their own terms and privacy policies. We are not responsible for the content, accuracy, or practices of third-party services, and linking to them does not imply endorsement.

8. Disclaimers

The Site and any tools on it (including the AI Search Audit tool) are provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not guarantee that the Site will be uninterrupted, error-free, or secure, or that any audit, analysis, or recommendation generated by our tools will produce specific business results (such as search rankings, traffic, or revenue).

9. Limitation of Liability

To the fullest extent permitted by law, Vibe Coder PNW and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages. Our total liability arising from your use of the Site (as distinct from a separate signed service agreement, which governs its own liability terms) will not exceed one hundred dollars ($100).

Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Indemnification

You agree to indemnify and hold harmless Vibe Coder PNW and its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Site.

11. Governing Law

These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or your use of the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Washington County, Oregon.

12. Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date above when we do. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
